Dial — Terms & Conditions

Effective date: June 21, 2026

These terms govern your use of Dial — programmable voice, SMS, and WhatsApp numbers for AI agents, available through a single API. They apply to self-serve customers. Please read them carefully; by using Dial you agree to them.

1. Agreement & Acceptance

These Terms & Conditions (the "Terms") form a binding agreement between you (the "Customer," "you," or "your") and the Dial contracting entity identified below, governing your access to and use of the Dial platform, application programming interfaces, Model Context Protocol (MCP) endpoints, dashboards, documentation, and related services (collectively, the "Service").

Contracting entity. If your billing address is in the United States, your agreement is with Genway Inc, a Delaware corporation (EIN 35-2822767), with its principal address at 108 W 13th St, Wilmington, DE 19801, USA. If your billing address is anywhere else, your agreement is with Genway Israel Ltd (company registration number 516887684), a company incorporated in Israel and a subsidiary of Genway Inc. Genway Inc and Genway Israel Ltd are each referred to as "Dial," "we," "us," or "our," as applicable to you. "Dial" is the brand name under which the Service is offered.

Acceptance. By creating an account, clicking "I agree" (or similar), accessing an API key, or otherwise using the Service, you accept these Terms and our Acceptable Use Policy (Section 7) and Privacy Policy. If you do not agree, do not use the Service.

Self-serve only. These Terms govern self-serve use of Dial. Enterprise customers may enter into a separate, negotiated agreement; where a signed agreement exists between you and Dial, that agreement controls over these Terms to the extent of any conflict.

Authority. If you accept these Terms on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" refers to that entity.

2. Definitions

"Account" means your Dial account. "API" means Dial's application programming interfaces and MCP endpoints. "Numbers" means telephone numbers and messaging sender identifiers made available to you through the Service. "Customer Content" means the data, messages, call audio, prompts, configurations, and other material you, your AI agents, or your End Users transmit through or submit to the Service. "End User" means any person or system that interacts with the Service through your Account, including parties your AI agents call or message. "Documentation" means Dial's published technical and usage documentation. "Prepaid Balance" means funds you load into your Account under the Pay-As-You-Go tier. "AUP" means the Acceptable Use Policy in Section 7.

3. Eligibility & Your Account

  • The Service is offered for business and professional use only. It is not intended for personal, household, or consumer use, and you agree you are not using it as a consumer.
  • You must be at least 18 years old and capable of forming a binding contract.
  • You agree to provide accurate, current, and complete registration information and to keep it updated. We may require identity, business, or other verification ("Know Your Customer" / KYC) as a condition of providing or continuing the Service, including to satisfy carrier or regulatory registration requirements.
  • You are responsible for safeguarding your credentials and API keys, and you are fully responsible for all activity that occurs under your Account, whether or not authorized by you. Notify us promptly of any suspected unauthorized use.

4. The Service & License

Dial provisions programmable phone Numbers and communication channels — voice, SMS, and WhatsApp — that you and your AI agents can use via a single API with native MCP support.

License. Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service and Documentation during the term, solely for your internal business purposes and in accordance with these Terms.

Restrictions. You will not, and will not permit anyone to: (a) resell, sublicense, or provide the Service to a third party except as expressly permitted; (b) reverse engineer, decompile, or attempt to derive source code, except to the extent this restriction is prohibited by law; (c) circumvent usage limits, rate limits, or security measures; (d) use the Service to build a competing product; or (e) remove or obscure any proprietary notices.

Beta features. We may offer features identified as beta, preview, or experimental. These are provided "as-is," may be changed or withdrawn at any time, and are excluded from any commitments we make about the Service.

5. Phone Numbers

  • Numbers are licensed to you, not sold. You acquire no ownership, property right, or portability right in any Number except as expressly stated here or required by applicable law.
  • We may change, reassign, or reclaim a Number where required by a carrier, regulator, or numbering authority; upon cancellation, termination, or expiry of your right to use it; or upon non-payment. We will use commercially reasonable efforts to give notice where practicable, but are not liable for any loss arising from a change to or loss of a Number.
  • Number porting (in or out) is supported only where technically and legally feasible, is subject to our then-current process and any third-party requirements, and is not guaranteed.
  • Numbers may be subject to carrier and regulatory registration requirements (see Section 8). A Number may be suspended or withdrawn if required registrations are not completed or maintained.

6. No Emergency Services

IMPORTANT — PLEASE READ

THE SERVICE DOES NOT SUPPORT 911, E911, OR ANY OTHER EMERGENCY CALLING OR EMERGENCY SERVICES.

The Service is not a telephone service and is not a substitute for traditional or mobile telephone service. It cannot be used to place or receive calls to emergency services, and emergency-services operators will not receive your location or call-back information.

You must maintain an alternative means of accessing emergency services. You are responsible for informing your End Users and any person using a Number through your Account that emergency calling is not available, and you assume all liability arising from any attempt to use the Service for emergency purposes. We are not liable for any failure or inability to reach emergency services through the Service.

7. Acceptable Use

This Acceptable Use Policy is part of these Terms. Automated and AI-agent-driven calling and messaging are expressly permitted where you have all required consents and your use complies with applicable law and these Terms. What is prohibited is abuse — not automation.

You must not use the Service to:

  • Send spam, or send unlawful, unsolicited, or non-consented calls or messages, including illegal robocalls or robotexts;
  • Engage in fraud, phishing, smishing, vishing, scams, or social-engineering attacks;
  • Falsify, spoof, or misrepresent caller or sender identity in a manner that is unlawful or intended to defraud or deceive;
  • Transmit content that is illegal, harassing, threatening, hateful, defamatory, or that infringes intellectual-property or privacy rights;
  • Distribute malware, or interfere with, overload, or disrupt the Service, carriers, or third-party networks;
  • Evade opt-outs, do-not-call obligations, message filtering, throttling, or carrier or platform rules; or
  • Violate any applicable law, regulation, carrier requirement, or third-party platform policy (including Meta's WhatsApp Business policies).

Enforcement.

We may monitor use for compliance, and may throttle, filter, suspend, or terminate access — immediately and without notice where we reasonably believe it is necessary to prevent harm, fraud, legal or carrier violations, or risk to the Service or others. We may report unlawful activity to carriers, platforms, and authorities. You remain responsible for all fees incurred up to suspension or termination.

8. Your Compliance Responsibilities

You are solely responsible for ensuring that your use of the Service — including all calls and messages you or your AI agents originate or receive — complies with applicable law and the requirements of carriers and platforms. Without limiting this, you are responsible for:

  • Obtaining and maintaining all legally required consents from called and messaged parties, including prior express consent (and prior express written consent where required) under the U.S. Telephone Consumer Protection Act (TCPA) and equivalent laws in other jurisdictions;
  • Completing and maintaining all required messaging and voice registrations, including A2P 10DLC brand and campaign registration, sender/branded-calling registrations, and equivalent carrier or regulatory programs;
  • Honoring opt-out, do-not-call, and revocation-of-consent requests, and maintaining required suppression lists;
  • Complying with carrier rules, messaging and calling regulations, recording-consent and wiretap laws, and the policies of any platform you use through the Service (including WhatsApp); and
  • Providing your End Users with all legally required notices and disclosures, including regarding automated or AI-driven communications and any call or message recording.

Dial does not provide legal advice and does not undertake to ensure your communications are lawful. Registrations submitted through us are subject to carrier and third-party approval and timelines outside our control.

9. Fees, Billing & Taxes

Pricing tiers.

The Service is offered under two self-serve tiers, at the prices published on getdial.ai:

  • Flat Fee. A recurring per-Number subscription, currently USD 20 per Number per month, or USD 200 per Number per year.
  • Pay-As-You-Go (prepaid). You load a Prepaid Balance into your Account and consume it as you use the Service at the applicable usage rates.

Billing & renewal.

  • All fees are stated and payable in U.S. dollars (USD).
  • Flat Fee subscriptions renew automatically for successive periods (monthly or annual, matching your selection) until cancelled, and you authorize us and our payment processor to charge your payment method for each renewal.
  • Adding a Number mid-period results in an immediate charge for that Number for the then-current period; removing a Number mid-period does not generate a refund or credit, and service for that Number continues until the end of the paid period.
  • Pay-As-You-Go top-ups are charged at the time you load funds. Usage is drawn down against your Prepaid Balance. If your Prepaid Balance is exhausted, affected Service may be suspended until you top up.
  • Payments are processed by a third-party payment processor; you authorize the charges and agree to its terms. If a charge fails, we may retry and may suspend the Service until payment is resolved.
  • We may change prices and rates. Changes take effect at your next renewal (Flat Fee) or your next top-up (Pay-As-You-Go).

Taxes.

Published prices are exclusive of taxes. You are responsible for all sales, use, value-added (VAT), goods-and-services, withholding, and similar taxes and duties associated with your purchase, other than taxes on our net income. If we are required to collect such taxes, they will be added to your charges.

Prepaid Balance expiry.

PREPAID BALANCE

Your Prepaid Balance is available for use but is non-withdrawable and non-refundable. Any unused Prepaid Balance expires after 12 consecutive months of Account inactivity, after which it is forfeited.

10. No Refunds & Cancellation

NO REFUNDS · NO WITHDRAWALS

All fees and amounts paid are non-refundable, and funds loaded into your Account cannot be withdrawn, except where a refund is required by applicable law.

  • Flat Fee cancellation. You may cancel at any time through your Account. Cancellation stops future renewals; your Service continues until the end of the period you have already paid for (the current month or year), and you will not receive a refund or proration for the remaining period.
  • Pay-As-You-Go. You may stop using the Service at any time. Any remaining Prepaid Balance stays usable (subject to the expiry in Section 9) but cannot be refunded or withdrawn.
  • Chargebacks. Initiating a chargeback or payment dispute for a charge you authorized is a breach of these Terms and may result in immediate suspension or termination, in addition to the disputed amount remaining due.

11. Your Content & Data

As between you and us, you own your Customer Content. You grant us a worldwide, non-exclusive, royalty-free license to host, process, transmit, route, and display Customer Content as necessary to provide, secure, and improve the Service and to comply with law and carrier requirements.

You represent that you have all rights and consents necessary for us to handle Customer Content, including any call or message content and any personal data of End Users, and that your use of the Service does not violate any person's rights or any law. You are responsible for the legality of all Customer Content.

Our handling of personal data is described in our Privacy Policy at getdial.ai/privacy. Where we process personal data on your behalf, our Data Processing Addendum at getdial.ai/dpa applies. To the extent you are a controller and we are a processor of End-User personal data, you are responsible for the lawful basis, notices, and consents required for that processing.

12. Intellectual Property

The Service, the API, Documentation, the Dial brand, and all related software, technology, and materials, and all intellectual-property rights in them, are and remain the exclusive property of Genway Inc, Genway Israel Ltd, and their licensors. No rights are granted to you except the limited license expressly stated in these Terms; all other rights are reserved.

If you provide suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate that feedback without restriction or obligation to you.

13. Suspension & Termination

  • We may suspend or terminate your access to all or part of the Service, with or without notice, if: you breach these Terms or the AUP; you fail to pay; we are required to by law, a regulator, or a carrier; or we reasonably determine that your use poses a security, legal, fraud, or reputational risk.
  • You may stop using and cancel the Service at any time as described in Section 10.
  • On termination or expiry: your license and access end; we may delete your Account and Customer Content after a reasonable period; Numbers may be reclaimed and reassigned; no fees are refunded; and any amounts owed become immediately due.
  • Sections that by their nature should survive termination — including Fees owed, No Refunds, Content licenses, Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Governing Law, and General — survive.

14. Availability & Changes

The self-serve Service is provided without any service-level agreement, uptime commitment, or guaranteed availability. We may perform maintenance, and may modify, suspend, or discontinue any part of the Service at any time. The Service depends on third-party carriers, networks, and platforms whose availability and rules are outside our control. Any service-level commitments are available only under a separate signed enterprise agreement.

15. Disclaimer of Warranties

THE SERVICE, API, NUMBERS, AND DOCUMENTATION ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT ANY CALL OR MESSAGE WILL BE DELIVERED, OR THAT THE SERVICE WILL MEET ANY REGULATORY OR CARRIER REQUIREMENT APPLICABLE TO YOUR USE.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL DIAL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.

DIAL'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO DIAL FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD 100.

Some jurisdictions do not allow certain exclusions or limitations; in those jurisdictions our liability is limited to the maximum extent permitted by law.

17. Indemnification

You will defend, indemnify, and hold harmless Genway Inc, Genway Israel Ltd, and their affiliates, officers, and employees from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) your Customer Content; (c) your communications with or claims by your End Users; (d) your violation of these Terms, the AUP, or any applicable law, carrier requirement, or platform policy; or (e) your failure to obtain required consents or registrations.

18. Third-Party Services

The Service relies on and interoperates with third-party carriers, networks, and platforms, including Meta's WhatsApp. Your use of those channels is also subject to the applicable third party's terms and policies. We are not responsible for third-party services, their availability, changes, or actions, including the suspension of a sender or number by a carrier or platform.

19. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms with a revised "Last updated" date, and where changes are material we will take reasonable steps to notify you. Changes take effect when posted (or on the stated effective date), and your continued use of the Service after that constitutes acceptance. If you do not agree to the updated Terms, you must stop using the Service.

20. Governing Law & Disputes

These Terms, and any dispute or claim arising out of or relating to them or the Service (including non-contractual disputes), are governed by the laws of the State of Israel, without regard to its conflict-of-laws rules. The competent courts of Tel Aviv-Jaffa, Israel, will have exclusive jurisdiction, and you and Dial consent to the personal jurisdiction of those courts. This applies regardless of which Dial contracting entity you have agreed with. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Nothing here prevents either party from seeking injunctive or equitable relief to protect its intellectual property or confidential information in any court of competent jurisdiction.

21. General

  • Entire agreement. These Terms, the AUP, the Privacy Policy, and any pricing published on getdial.ai are the entire agreement between you and Dial for self-serve use, and supersede prior agreements on the subject, except for any signed enterprise agreement.
  • Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms, including to an affiliate or in connection with a merger, acquisition, or sale of assets.
  • Severability. If any provision is held unenforceable, the remaining provisions remain in effect, and the unenforceable provision will be modified to the minimum extent necessary.
  • No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
  • Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
  • Relationship. The parties are independent contractors; these Terms create no partnership, agency, or joint venture.
  • Export & sanctions. You represent that you are not subject to applicable sanctions and that you will comply with applicable export-control and sanctions laws.
  • Notices. We may give notice by posting on getdial.ai, through the Service, or by email to your Account address. Legal notices to us must be sent to the contact below.
